Agilix Solutions Online Rewards “eRewards Program” Terms & Conditions

The Online Rewards program (“Online Rewards”, “eRewards” or “Program”) is conducted by Agilix Solutions (“Sponsor”). Sponsor reserves the right to alter, limit or modify program rules, regulations, reward types and reward levels or to terminate Online Rewards at any time, at its discretion without any further obligations to cardholders. The Agilix Solutions logo, Agilix Solutions Online Rewards logo and other logos and taglines are the intellectual property of Agilix Solutions.

Online Rewards is open only to individual customers and the owners and employees of customers of Sponsor who are legal U.S. residents and 18 years of age or older. Void where prohibited by law. Some employers may not grant you permission to participate in Online Rewards or may have rules regarding awarding of rewards to their employees. By participating, customers agree to adhere to the rules of their employers. Sponsor assumes no responsibility for any consequences of an employee violating the rules of his or her employer. Employees, officers, and directors (including immediate family members and members of the same household) of the Sponsor, its subsidiaries/affiliated companies, and any and all other entities associated with the program, are not eligible to participate.

By participating in the Program, you: (i) certify that you are a legal U.S. residents and 18 years of age or older; (ii) consent to the Sponsor’s collection and use of your personal information (as set out below); and, (iii) agree to these Terms, as they may be amended from time to time. If you do not agree to these Terms, you cannot participate in the Program.

1. Earning Points. You earn Program rewards points (“Points”) by making purchases at the Sponsor’s e-Commerce website (my.goAgilix.com), calculated on the pre-tax purchase price. Points are only awarded for in-stock product purchases placed on the Sponsor’s e-Commerce website (my.goAgilix.com) for select manufacturers and/or select product divisions/categories. Direct ship or special order products are not eligible. The Sponsor may change the basis upon which Points are awarded, including the number of Points awarded per dollar spent or select manufacturers, at any time, without notice to you. Points are only earned on regularly-priced purchases. Online Reward cards cannot be combined with any other offer and cannot be sold, reproduced or redeemed for cash. Sponsor reserves the right to make bonus Online Rewards and promotional offers available to select members based on purchase activity, geographic location, program participation, information supplied by the cardholder, etc.

2. Membership. To participate in the Program, you must be a registered my.goAgilix.com user, active Agilix Solutions customer and in good credit standing. The Sponsor may determine who it grants membership to, and may revoke your membership at any time, without notice to you. Only one Online Rewards program membership is available per person.

3. Purchaser Earns Points. Points are only earned by, and will only be deposited to, the account associated with the member making the purchase in question.

4. No Cash Value. Points have no cash value, and are not transferable or assignable.

5. Refunds. If you receive a refund for any purchase, any Points awarded for that purchase will be deducted from your Online Rewards account.

6. Redeeming Points. You may redeem Points by selecting the My Rewards link on my.goAgilix.com. Total points will be tracked based on your individual Agilix Solutions online purchases. A point’s summary will be available through your my.goAgilix.com account. Online Rewards points are redeemable as e-Gift cards. Fulfillment and delivery of e-gift cards is managed by Tango Card, Inc. 7. Errors. The Sponsor is not obligated to honor a redemption request on an inaccurate Points value resulting from an error in printing, production or posting.

8. Availability of Rewards. The Sponsor will endeavor to ensure availability of all rewards items, however it cannot guarantee that a particular item will be available. If a rewards item is unavailable, the Sponsor may substitute an item of similar value.

9. Inspection. You must inspect the reward item you receive at the time you receive it, in order to ensure that it is satisfactory. If it is not, you must immediately notify the Sponsor employee of any defect. If you do not do so, you are deemed to have accepted the reward item.

10. Changes to the Program. The Sponsor may:

a. Terminate Counter Rewards at any time, without notice to you;

b. Restrict, suspend, extend or otherwise alter the Online Rewards program (or any aspects thereof), without notice to you; and/or,

c. Revise these Terms.

11. Revocation of Membership. If, in the Sponsor’s opinion, you abuse any of the Program privileges, or breach any of these Terms, the Sponsor may revoke your membership, without notice to you, and cancel any reward points that you have accumulated.

12. Inactivity. If you do not redeem your Online Rewards Points on my.goAgilix.com for 12 consecutive months, your Online Rewards account will deemed to be inactive and all accumulated Points will be forfeited.

13. Taxes. You are solely responsible for any tax consequences flowing from your participation in the Program (including the reporting of any tax benefit, and the payment of all applicable taxes).

14. NO WARRANTY. THE SPONSOR, AND ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS, DO NOT MAKE ANY WARRANTY, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OR CONDITIONS OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE PROGRAM OR ANY PRODUCTS OR SERVICES RELATED THERETO, AND EXPRESSLY DISCLAIMS ANY SUCH WARRANTIES.

15. IMPORTANT DISCLAIMER. THE SPONSOR WILL NOT BE RESPONSIBLE FOR ANY CONSEQUENTIAL, SPECIAL OR INCIDENTAL LOSSES OR DAMAGES. IF THE SPONSOR IS FOUND LIABLE FOR ANY REASON (INCLUDING LIABILITY FOR NEGLIGENCE OR BREACH OF CONTRACT), ITS LIABILITY WILL BE LIMITED TO $25.

16. Up-to-date information. You must ensure that the information you provide to the Sponsor is complete and up-to-date. If any information changes, you must notify the Sponsor immediately.

17. Definition. In these Terms, ‘including’ means ‘including without limitation’.

18. Void where prohibited. These Terms are void where, and to the extent, prohibited by law. Taxes may also be applicable, where required by law.

PRIVACY POLICY: Sponsor will not intentionally disclose any personally identifying information about you (including information submitted on the application form) to third parties. Registrants are automatically opted-in to receive all types of Agilix Solutions e-mails. The information provided by the cardholder will be handled according to the Agilix Solutions Privacy Policy. Effective Date. These Terms are effective as of January 1, 2024 and replace any previous version. Using your Online Rewards after such effective date constitutes your acceptance of these Terms. Publications of these Terms in the Sponsor’s stores or on the Sponsor’s website is deemed to be notice of such Terms (where notice is required to be given). Online Rewards will run through December 31, 2023. This program can be automatically renewed at the sole discretion of Sponsor. To the extent that Sponsor does not renew the program at its sole discretion, rewards will not be earned or awarded for purchases after December 31, 2024.
